These Terms and Conditions (“Terms”) govern your access to and use of the Thayu.Market website, mobile applications, and related services (collectively referred to as the “Platform”).
By accessing or using Thayu.Market, you agree to comply with and be bound by these Terms. If you do not agree to these Terms, you must immediately stop using the Platform.
1. DEFINITIONS
For clarity and consistency throughout this document:
“Thayu.Market,” “we,” “our,” or “us” refers to Thayu Market Ltd, the company that owns and operates the platform.
“Platform” means the Thayu.Market website, mobile applications, and any services, tools, or systems made available to users.
“User,” “you,” or “your” refers to any person who accesses, browses, registers, lists, or uses any service provided on the Platform.
“Buyer” refers to a user who searches for, contacts, or purchases products or services listed on the Platform.
“Seller” refers to a user who lists or advertises goods or services for sale.
“Listing” means any product, service, advertisement, or post made available on the Platform by a Seller.
“Account” means a user profile registered on the Platform for personal or business use.
“Services” refers to all digital marketplace and listing services, including but not limited to advertising, featured listings, promotions, and communication tools.
2. ACCEPTANCE OF TERMS
By using Thayu.Market, you agree to:
Be bound by these Terms and any additional guidelines published on the Platform.
Use the Platform lawfully, responsibly, and in accordance with Kenyan law.
Regularly review these Terms, as they may be updated periodically. Continued use after any changes constitutes acceptance of those updates.
If you do not agree with any part of these Terms, you should stop using the Platform immediately.
3. ELIGIBILITY
You must be at least 18 years old to register or conduct business on Thayu.Market.
If you are under 18, you may only use the Platform under the supervision of a parent or legal guardian who agrees to be bound by these Terms.
You must have the legal capacity to enter into binding contracts.
Business accounts must provide accurate company details, including valid registration numbers and tax identification.
You agree to provide accurate, current, and complete information when creating your account and when posting listings.
We reserve the right to suspend or terminate any account that provides false, misleading, or incomplete information.
4. USER ACCOUNT AND SECURITY
To access certain features, you may need to register an account using a valid email address or mobile phone number.
You are responsible for maintaining the confidentiality of your login credentials and for all activities under your account.
You must not share your account credentials with others or use another person’s account.
You agree to notify Thayu.Market immediately of any unauthorized access, breach, or misuse of your account.
Thayu.Market will not be liable for any loss or damage arising from unauthorized access to your account resulting from your negligence.
We reserve the right to deactivate or delete accounts that violate these Terms or show prolonged inactivity.
5. SERVICES OFFERED
Thayu.Market provides an online platform where users can:
Advertise, list, and promote goods and services.
Search, browse, and interact with listings.
Communicate directly with other users through secure messaging features.
Access paid promotional tools such as premium or featured listings.
Thayu.Market acts as a facilitator only and is not a party to any direct transaction between Buyers and Sellers.
6. LISTINGS AND ADVERTISING
6.1 Posting Requirements
When posting listings:
You must ensure all information is accurate, truthful, and not misleading.
Descriptions, prices, and images must clearly represent the product or service.
You are solely responsible for the legality, authenticity, and ownership of the items you advertise.
6.2 Prohibited Content
You may not post or sell the following:
Illegal or stolen items.
Counterfeit or trademark-infringing goods.
Adult, pornographic, or obscene materials.
Weapons, ammunition, explosives, or hazardous materials.
Narcotics, controlled drugs, or prescription medication.
Human organs or body parts.
Wildlife products or ivory.
Gambling, betting, or pyramid scheme promotions.
Content promoting hate speech, discrimination, or violence.
6.3 Listing Moderation
Thayu.Market reserves the right to:
Review, edit, suspend, or remove listings that violate our policies or Kenyan law.
Adjust content presentation for quality, formatting, or compliance purposes.
Refuse service or suspend users who repeatedly post restricted content.
7. PAYMENT AND PREMIUM SERVICES
Thayu.Market provides optional paid services for Featured Ads and Premium Listings.
Payments can be made via M-Pesa, debit/credit cards, or other authorized payment gateways.
Fees are displayed transparently before any purchase or upgrade.
All payments are non-refundable unless a transaction error occurs due to a verified technical fault on our system.
Sellers are responsible for all transaction taxes, including Value Added Tax (VAT), where applicable.
Thayu.Market does not handle Buyer-Seller payments for listed items. Transactions between users occur independently, and users bear full responsibility for verifying counterparties and completing payments safely.
8. USER RESPONSIBILITIES
All users agree to:
Use the Platform ethically and lawfully.
Avoid false advertising, fraud, or deceptive practices.
Conduct due diligence before completing transactions.
Communicate respectfully and avoid harassment, discrimination, or threats.
Report suspicious, fraudulent, or illegal activity to Thayu.Market support.
Users are fully liable for their actions and the accuracy of their listings.
9. PROHIBITED USES
You may not:
Post false or misleading content.
Misuse payment systems or attempt to defraud others.
Access or attempt to hack any part of the Platform or server.
Copy, scrape, or reproduce data for commercial purposes.
Post spam, chain messages, or phishing links.
Circumvent account or content moderation tools.
Any such activity may lead to immediate account suspension and possible reporting to law enforcement authorities under the Computer Misuse and Cybercrimes Act, 2018 (Kenya).
10. INTELLECTUAL PROPERTY RIGHTS
All rights to the Thayu.Market brand, logo, software, databases, content, and design are owned or licensed by Thayu.Market Ltd.
Users may not copy, modify, distribute, or use Thayu.Market’s intellectual property without express written consent.
By posting content, users grant Thayu.Market a non-exclusive, royalty-free license to use, display, and promote that content on the Platform or in marketing materials.
You represent and warrant that any content you post does not infringe on any third-party intellectual property rights.
11. PRIVACY AND DATA PROTECTION
Thayu.Market respects your privacy and complies with the Kenya Data Protection Act (2019).
Personal information collected (such as name, contact number, or location) is used strictly for account management, customer support, and transaction facilitation.
We will not sell or disclose personal information to third parties except as required by law or to enforce our Terms.
We employ appropriate security measures to protect user data, but cannot guarantee complete security against unauthorized access due to factors beyond our control.
Users are encouraged to safeguard their devices and personal information at all times.
12. THIRD-PARTY LINKS AND SERVICES
The Platform may contain links or integrations to third-party sites such as payment processors, advertisers, or external marketplaces.
Thayu.Market is not responsible for:
The availability, content, or accuracy of third-party services.
Losses or damages arising from the use of external websites or tools.
Users access third-party links at their own discretion.
13. DISCLAIMER OF WARRANTIES
The Platform and all its services are provided “as is” and “as available.”
Thayu.Market does not guarantee:
That listings or content will meet your expectations.
Continuous, error-free operation of the Platform.
The accuracy or reliability of any user-generated content.
Users are solely responsible for verifying all information before acting on it.
14. LIMITATION OF LIABILITY
To the fullest extent permitted by law:
Thayu.Market, its directors, employees, and affiliates shall not be liable for any indirect, incidental, consequential, or punitive damages arising out of your use of the Platform.
Our total aggregate liability shall not exceed the amount you paid for premium services within the 30 days preceding the incident.
We are not liable for user disputes, third-party actions, or losses resulting from your reliance on another user’s content.
15. INDEMNIFICATION
You agree to indemnify, defend, and hold harmless Thayu.Market, its officers, employees, affiliates, and partners from any claims, damages, losses, or expenses arising out of:
Your use of the Platform.
Your breach of these Terms.
Your violation of any third-party rights, laws, or regulations.
16. TERMINATION OR SUSPENSION
Thayu.Market may, without prior notice:
Suspend or terminate your access if you breach these Terms or engage in fraudulent or illegal activity.
Remove your listings and block your future access.
Cooperate with authorities if unlawful behavior is detected.
Upon termination, your right to use the Platform will immediately cease, but obligations and liabilities incurred prior to termination will remain enforceable.
17. MODIFICATION OF TERMS
Thayu.Market reserves the right to update, modify, or replace these Terms at any time.
Any changes will take effect upon posting the updated Terms on the Platform.
Users are encouraged to review the Terms periodically to remain informed of their obligations.
18. GOVERNING LAW AND DISPUTE RESOLUTION
These Terms shall be governed and interpreted in accordance with the Laws of Kenya.
In the event of a dispute:
Parties shall first attempt amicable settlement through negotiation.
If unresolved, disputes shall be referred to arbitration in Nairobi, conducted in English, under the Arbitration Act (1995).
The decision of the arbitrator shall be final and binding on all parties.
